Trinidad and Tobago NGL Limited - Notice of Approval of Reduction in Stated Capital

NOTICE TO SHAREHOLDERS

Trinidad and Tobago NGL Limited ("TTNGL'') hereby advises that at an Annual Meeting of the Shareholders held on 5 March 2026, the shareholders approved a special resolution authorizing the reduction of TTNGL's stated capital account for all classes of shares proportionally, in the amount of TT$2.2 billion.

The reduction of stated capital does not affect the number of issued shares of TTNGL but reduces the amount standing to the credit of the stated capital account.

The reduction enables TTNGL to satisfy the requirements under Section 54 of the Companies Act, Chap. 81:01 and facilitates the declaration and payment of dividends pursuant to Section 55 of the Companies Act.
