NOTICE OF MATERIAL CHANGE

Pursuant to Section 64(1)(B) of the Securities Act, 2012, Eric Solis Marketing Limited( “SOLIS") wishes to advise that on June 30th 2026, its Board of Directors and the Board of Directors of its wholly owned subsidiary, Business Equipment and Interiors International Limited (“BEI"), approved the amalgamation between SOLIS and BEI, subject to regulatory approval and the filing of the required articles of amalgamation with the Companies Registry.

A further notice will be issued to the public confirming the effective date of amalgamation.
