NOTICE OF MATERIAL CHANGE

This notice is pursuant to Section 64(1)(b) of the Securities Act 2012 of Trinidad and Tobago.

GraceKennedy Limited has announced the appointment of Durval Williams as its new Chief Audit Executive, effective Friday, January 2 2026.

In light of Williams' appointment, Judith Chung, who had been acting as Chief Audit Executive, and Jason Bailey, who had temporarily assumed the compliance portfolio from Chung on April 1, 2025, will return to their substantive roles as Group Chief Compliance Officer & Senior Counsel, and Head of Risk, respectively on January 2, 2026.
