Notice to Shareholders
CHANGES TO THE BOARD OF DIRECTORS

Guardian Holdings Limited (“GHL”) wishes to advise that, further to the announcement by NCB Financial Group Limited (“NCBFG”) regarding its leadership development, Mr. Robert Almeida’s term as Group Chief Executive Officer of NCBFG will conclude on 30 September 2026. Consequently, Mr. Almeida’s directorship on GHL will also conclude on 30 September 2026.

Mr. Almeida joined GHL’s Board in 2019 and was appointed Chairman in 2023. During his tenure, he provided valuable leadership and contributed to the governance and strategic direction of the Group. GHL acknowledges and expresses its appreciation for his service and contribution to the Board.

Effective 1 October 2026, Mr. Dominic Rampersad will succeed Mr. Almeida as Chairman of the Board of Directors. The Board welcomes Mr. Rampersad to the role and looks forward to his leadership and continued contribution to the strategic direction and development of the Group.
