Berger Paints Trinidad Limited - Change in Shareholding

The Trinidad and Tobago Stock Exchange Limited (TTSE) received notice from BER stating that they have been advised by ANSA Coatings International Limited (ACIL), that following the completion of the Offer dated November 01st, 2017 to acquire the shares of BER at a price of TTD$6.76 which closed on December 22nd, 2017, it now holds 4,866,894 ordinary shares of BER, which is approximately 94% of the total shareholding.

In accordance with its obligations under By-Laws 26 of the Securities Industry (Take-Over) By-Laws and its right under section 202 of the Companies Act Chap 81:01, ACIL has issued a notice dated February 20th, 2018 to remaining shareholders of BER to advise them of their statutory rights and to exercise its statutory right to compulsorily acquire all outstanding shares in BER.
