Guardian Holdings Limited - Disclosure of Additional Information and Extension of Closing Date in respect to the Offer and Take

Further to a Notice to Shareholders published on December 9, 2017 Guardian Holdings Limited (GHL) hereby advises that on January 12, 2018 the Board of Directors was presented with a Notice of Disclosure of Additional information and Notice of Extension of Closing Date of even date (the NCBGH Notice) issued by NCB Global Holdings Limited (NCBGH) regarding its Offer and Take-Over Bid Circular to all Shareholders of NCBGH to acquire up to 74,230,750 ordinary shares in GHL at the Offer Price in cash of US$2.35 per ordinary share (the Offer).

GHL has been advised that the NCBGH Notice was published in the local press on January 12, 2018. It is also available on the NCB Financial Group Limited website

Exception as otherwise set forth in this Notice, there have been no changes to the terms and conditions of the Offer and as such those terms and conditions previously set forth in the Offer and Take-Over Bid Circular continue to be applicable in all respects.

The Offer, as amended as set out in the NCBGH Notice, will remain open for acceptance until but no later than February 2, 2018 at 4.00pm (the Amended Closing Date).
