Trinidad Publishing Company Limited – Special Meeting of Shareholders

The following notice to shareholders was received from Trinidad Publishing Company Limited:

SPECIAL MEETING OF SHAREHOLDERS

Over the years your company, Trinidad Publishing Company Limited, has expanded its operations encompassing various aspects of the media. The Company was incorporated in 1917 and commenced business with the publication of a newspaper and in 1998 the operations of the Trinidad Broadcasting Group were assimilated into our organization. Three years ago, your directors expanded the suite of offerings to include television broadcasting. In the beginning our television programming was only available on the cable network (channel 3) and covered news, sports and current events. Recently, we obtained a Free-to-Air licence to operate a full fledged television station that is now available on Channels 12, 14 and 22.

Consequently, your Directors are proposing that the name of the company be changed, as the existing name does not adequately reflect the various facets of the media under which it operates. Consequently your Directors propose that the name of the company be changed to Guardian Media Limited, a name which now readily identifies with the type of organization it represents – one dealing with newspaper reporting, another with radio and another with television. The Directors also wish to give the assurance that there is no intention to change the individual brands for the respective business units that have been built up over the last several years. The company will continue to operate under the same brands and in the same manner as currently exists. This name change will only apply to the corporate identity.

As a consequence of the foregoing, your Directors are proposing a Special Meeting of its Shareholders to be held on Tuesday 9th March, 2010 at 1:30PM to approve, if thought fit, a change of name of the umbrella company Trinidad Publishing Company Limited to Guardian Media Limited.


NOTICE OF MEETING

Notice is hereby given that a Special Meeting of Shareholders of Trinidad Publishing Company Limited at the Board Room, Trinidad Publishing Company Limited, 22-24 St. Vincent Street, Port of Spain on Tuesday 9th March, 2010 at 1:30PM for the following purpose:


That the following special resolution be approved by shareholders:

“That the name of the company be changed to ‘Guardian Media Limited’ with immediate effect subject to the approval of the Registrar of Companies.”
