Republic Financial Holdings Limited - Notice of Public Offer for Acquisition of Cayman National Corporation Limited

NOTICE
NOTICE PURSUANT TO SECTION 64(1)(B) OF THE SECURITIES ACT 2012

Republic Financial Holdings Limited (RFHL) advises that on May 30, 2025, an offer was posted on the Cayman Islands Stock Exchange (CSX) officially opening RFHL’s offer to the shareholders of Cayman National Corporation Limited (CNC) to acquire the remaining non-controlling interest in CNC.

Currently RFHL owns 74.99% shareholding of CNC via its wholly owned subsidiary Republic Bank Trinidad & Tobago (Barbados) Limited (RBTTBL) and the public offer was made to all shareholders of non-controlling interest for the outstanding CNC shares listed on the CSX.

At the close of the offer RFHL will issue a subsequent notice outlining any change in RFHL’s shareholding of CNC, through its wholly owned subsidiary RBTTBL.
