NOTICE PURSUANT TO SECTION 64(1) (B) OF THE SECURITIES ACT, 2012

The Board of Directors of GUARDIAN MEDIA LTD has accepted the resignation of Ms. Lisa Agard with effect from July 18, 2015 as Managing Director with Guardian Media Ltd.

The Company and the Board would like to sincerely thank Ms. Agard for her contribution and wish her well in her future endeavours.

We advise further of the appointment of Mr. Grenfell Kissoon, current Chairman of GUARDIAN MEDIA LTD, to the position of Interim Managing Director with effect from July 19, 2015.
