NOTICE TO SHAREHOLDERS OF FIRST CITIZENS GROUP FINANCIAL HOLDINGS LIMITED

On Tuesday, April 8, 2025, First Citizens Group Financial Holdings Limited (FCGFH) hosted its Third Annual Meeting of Shareholders. The following Directors were re-elected at the said meeting:

1. Mr. Anthony Isidore Smart, SC;
2. Mr. Courtenay B. Williams
3. Mrs. Savitree Seepersad
4. Mr. Idrees Omardeen
5. Ms. Jayselle McFarlane
6. Mr. Troy Garcia; and
7. Mr. Colin Wharfe

Effective March 21, 2025, the shares of the remaining subsidiaries of First Citizens Bank Limited (the Bank) were transferred from the Bank to FCGFH:

• First Citizens Financial Services ( St. Lucia) Limited (FCFSSL); and
• FCCR First Citizens Costa Rica A.A. (FCCR)

The transfer of the shares of the remaining subsidiaries represents the final phase of Legal Vehicle Reorganisation of the First Citizens Group.
