NCB Financial Group Limited - Notice of Changes to the Board of Directors

NCB Financial Group Limited (NCBFG) announces the following changes to the composition of its Board and the Board of its subsidiary, National Commercial Bank Jamaica Limited (NCBJ):

• Mr Gary Brown, who was elected to the Board of NCBFG at the Annual General Meeting in February, has been appointed Lead Independent Director;
• Mrs Sandra Glasgow resigned as a director of NCBFG effective March 20, 2024, but will continue to serve as director on the Boards of NCBJ and Clarien Bank Limited;
• Mrs Sanya Goffe resigned as a director of NCBJ effective March 20, 2024, but will remain on the Board of Directors of NCBFG;
• Mr John Bailey was appointed as a director of NCBJ on February 21, 2024.

All these changes, including the previously announced appointment of Mr Howard Shearer to the Board of NCBFG, are in keeping with ongoing efforts to enhance the independence, diversity and strength of the oversight of our Boards as key to the governance structure of the Group.
