Trinidad Cement Limited - Notice of Material Information

Trinidad Cement Limited ("TCL" or "the Company") hereby advises that the Company has entered into a Share Purchase Agreement ("SPA") dared Decemer 21, 2022 with Industrias Ponsa, S.A. for the acquisition of 349,999 ordinary shares or 35% of the issued share capital of TCL Ponsa Manidacturing Limited ("TPM").

TCL presently holds 649,999 ordinary shares or 65% of the issued share capital of TPM and pursuant to the SPA, TPM shall become a fully owned subsidiary of the Company.
