Endeavour Holdings Limited - Notice of Material Information

Endeavour Holdings Limited (‘EHL’) is pleased to announce the entry into a sale and purchase agreement with Massy Holdings Ltd. (‘Massy’) for 100% of the issued and outstanding shares of Massy’s wholly-owned subsidiary, Massy Properties (Trinidad) Ltd. (‘Massy Properties’). The agreement was entered into on May 31, 2022 and the acquisition is scheduled to be completed on June 30, 2022, subject to the satisfaction of all conditions precedent, including the obtaining of all applicable regulatory requirements.

Massy Properties is primarily a property holding company which owns the properties known as Uptown Mall and CHIC Building, amongst others. This acquisition poses a unique opportunity for EHL to expand its property portfolio to include additional revenue generating commercial buildings in prime locations.
