Agostini's Limited - Notice of Material Change

We wish to advise our shareholders that we have a Sale and Purchase Agreement with the Shareholders of Collins Limited, a Barbadian pharmaceutical and personal care distribution company, which began operations in1999, and its subsidiary, Carlisle Laboratories Limited, their pharmaceutical manufacturing subsidiary, established in 1961, for the purchase of 100% of the issued and outstanding shares of those companies.
