NOTICE PURSUANT TO SECTION 64 (1) (b) OF THE SECURITIES ACT 2012

GUARDIAN MEDIA LIMITED announces the appointment of its Chairman – Mr. Peter Clarke with effect from July 1st, 2017. The Company would like to sincerely thank Ms. Teresa White for her invaluable service as Interim Chairperson.

In addition, we are pleased to announce that the following persons were elected Directors of the Board on May 22, 2017 at the Company’s Annual Meeting of Shareholders:-

• Ms. Sharon Christopher
• Professor Brian Copeland
• Mr. A. Nicholas Sabga

We further advise of the resignation of the CFO/Company Secretary, Mr. Larry Jerome with effect from May 22, 2017.
