NOTICE IS HEREBY GIVEN that by Order of the Supreme Court of Jamaica dated February 14, 2008, varied by an Order dated February 19, 2008 it was directed that a meeting of the stockholders of Capital & Credit Merchant Bank Limited (the Bank), other than Capital & Credit Financial Group Limited, be convened in accordance with its Articles of Incorporation for the purpose of considering and, if thought fit, approving (with or without modification) a Scheme of Arrangement proposed to be made between the Bank and its stockholders. The meeting originally scheduled to be held at 10:00 am on Tuesday, March 25, 2008 at The Jamaica Pegasus Hotel, 81 Knutsford Boulevard, Kingston 5 has been postponed and instead will be held at 10:00 am on Monday, March 31, 2008 at the Terra Nova All-Suite Hotel, 17 Waterloo Road, Kingston 10, Jamaica.

Any person entitled to attend the meeting may obtain copies of the Scheme of Arrangement and Explanatory Statement (together with a form of Proxy) required to be furnished pursuant to section 207 of the Companies Act of Jamaica at the registered office of the Bank at 6-8 Grenada Way, Kingston 5, or, in Trinidad & Tobago at KPMG, Scotia Centre, 4th Floor, 56-58 Richmond Street, Port of Spain.

Stockholders may vote in person or they may appoint another person, whether a stockholder of the Bank or not, as their proxy to attend and vote in their stead.

It is requested that forms appointing proxies be lodged with the Secretary of the Bank at the registered office of the Bank at 6-8 Grenada Way, Kingston 5, Jamaica not less than forty (48) hours before the time appointed for the meeting, that is, at 10:00 am on Monday, March 31, 2008.

In the case of joint holders of the shares, the vote of the senior who tenders a vote whether in person or by proxy will be accepted to the exclusion of the vote of the other joint holders and for this purpose seniority will be determined by the order in which the names of the stockholders stand in the Register of Members.

By the said Order dated February 14, 2008 the Supreme Court of Jamaica appointed Mr. Ryland Campbell, or, failing him Mr. Curtis Martin, or, failing him Mr. Patrick Thelwell (each of 6-8 Grenada Way, Kinston 5, Jamaica) to act as Chairman of the meeting and directed that the Chairman report the results of the meeting to the Court.

The Scheme of Arrangement will be subject to the subsequent approval of the Supreme Court of Jamaica.
