NOTICE TO SHAREHOLDERS OF FIRST CITIZENS GROUP FINANCIAL HOLDINGS LIMITED

The Board of Directors of First Citizens Group Financial Holdings Limited ("the Company") wishes to advise of the following matters which were approved by its Shareholders at the Second Annual Meeting held on Wednesday, May 15, 2024:
1. Re-election of the following persons as Directors of the Company:

• Mr. Ryan Proudfoot;
• Ms. Franka Costelloe; and
• Ms. Ingrid Melville

2. Election of the following person as a Direcotr of the Company:

• Mr Devindra Ramnarine

3- Appointment of the PricewaterhouseCoopers as the Auditors of the Company
