Agostini's Limited - Notice of Material Change

We wish to advise our shareholders that all conditions precedent for the acquisition of Oscar Francois Limited and Intersol Limited by Smith Robertson & Company Limited, a subsidiary of Agostini's Limited, have been met and the transaction has been completed.

This Notice is published pursuant to Section 64(1)(b) of the Securities Act, 2012.
