One Caribbean Media Limited - Special Resolution

The Trinidad and Tobago Stock Exchange Limited (TTSE) received notice from OCM that at its Annual Meeting held on Friday June 10th, 2016, the shareholders approved the following:

Special Resolution:

Be it resolved that a further amount of 3,500,000 unissued shares be allocated to the existing Share
Incentive Plan which had been approved by the shareholders at the Special Meeting of the Company held
on December 19th, 2005. Options will have to be granted before June 10th, 2026.
