NOTICE TO SHAREHOLDERS

Pursuant to Sections 63 and 67(2)(c) of the Securities Act 2012 (the “Act”), Guardian Media Limited (the “Company”) wishes to advise its shareholders that the Company’s Annual Report for the year ended 31st December, 2015 (the “Annual Report 2015”) is now accessible on the Company’s website at:

The Company’s Annual Comparative Financial Statements and the Auditors’ Report thereon as required by Section 151(1) of the Companies Act, are included in the Annual Report 2015.

In accordance with Sections 67(2) (c) and 68 of the Act, also available online on the Company’s website are copies of the Notice of the One Hundredth Annual Meeting of the Company’s Shareholders, the Management Proxy Circular and the Proxy Form.
